Creator terms of service

The terms for creators, clippers, editors, and account operators that participate in Mainstage campaigns.

These Creator terms govern access to Mainstage by any creator, clipper, editor, social account operator, contractor, agency, or other person using Mainstage to discover, apply to, participate in, submit content for, or receive payment from campaigns. They should be read together with our Privacy policy.

1. Agreement

By creating an account, accepting these Creator terms, connecting an account, applying to or joining a campaign, submitting content, receiving payment, or otherwise using Mainstage as a creator, you agree to these Creator terms and any campaign terms that apply.

2. Eligibility and account responsibility

You must be at least 18 years old and able to enter a binding agreement to use Mainstage as a creator.

You are responsible for your account, credentials, profile, social accounts, payment accounts, tax information, and all activity under your account. You may not create, control, or operate multiple creator accounts without Mainstage's written permission.

You may use only identities, names, handles, accounts, content, payment methods, and tax information that you own or are authorized to use. Mainstage may require verification, re-verification, identity checks, tax checks, social account checks, payment checks, fraud checks, or other compliance steps at any time.

3. Mainstage services

Mainstage provides a platform and related services for creator campaigns. Mainstage may make available campaign discovery, submissions, review workflows, verification, reporting, payment administration, managed services, and other functionality from time to time.

Mainstage does not guarantee campaign availability, eligibility, acceptance, approval, views, reach, engagement, earnings, payouts, rankings, account status, continued access, or any other result.

Mainstage may change, suspend, discontinue, restrict, or replace any part of the services at any time. Mainstage may approve, reject, reclassify, adjust, withhold, reverse, investigate, suspend, or terminate any campaign activity, submission, payout, balance, account, or access at its reasonable discretion.

4. Campaign participation

You are responsible for deciding whether to participate in a campaign and whether you can comply with its requirements. If you participate, you must comply with the applicable campaign terms, these Creator terms, applicable law, third-party platform rules, and any instructions or restrictions provided through Mainstage.

Campaign terms may be changed, paused, cancelled, exhausted, or replaced. Mainstage may determine which terms apply to any submission or payout. Unless Mainstage or the campaign states otherwise, your rights and eligibility are based on the campaign terms applicable when you submit the relevant content for review.

5. Your content and compliance responsibility

You are solely responsible for all content you create, post, submit, upload, link, or otherwise provide through or in connection with Mainstage.

  • Legality, originality, truthfulness, and non-infringement.
  • Rights to footage, music, images, audio, edits, captions, handles, likenesses, trademarks, and other materials.
  • Compliance with advertising, endorsement, consumer protection, privacy, intellectual property, platform, and other applicable laws and rules.
  • Any required disclosures, disclaimers, labels, or other compliance measures.
  • Claims you make about a brand, product, service, person, or offer.
  • Ensuring content remains available, accurate, and compliant for any period required by the campaign or by Mainstage.

Mainstage may provide templates, examples, guidance, defaults, review workflows, or operational support. Those materials do not shift responsibility for your content or compliance to Mainstage and are not legal, tax, advertising, or platform advice.

6. Advertising disclosures

You are solely responsible for complying with all advertising disclosure, endorsement, sponsorship, consumer protection, and platform requirements that apply to your content and relationship with any brand, including any required disclosure that you have received or may receive compensation, rewards, benefits, or other consideration.

Failure to make or maintain required disclosures may result in rejection, forfeiture, clawback, suspension, termination, or other action.

7. Fraud, artificial engagement, and abuse

You may not engage in fake, manipulated, purchased, incentivized, misrepresented, unlawful, unauthorized, or non-compliant traffic, engagement, content, identity, payment, account, or submission activity.

Prohibited activity includes using bots, farms, fake accounts, purchased views, purchased engagement, manipulated analytics, deceptive screenshots, duplicate claims, unauthorized accounts, spam, paid amplification not allowed by the campaign, collusion, self-dealing, wash-trading, payment fraud, platform manipulation, or any other activity that Mainstage considers abusive, deceptive, fraudulent, or harmful.

If Mainstage determines that you breached this section, Mainstage may reject or reverse submissions, withhold or claw back payouts, deduct from future earnings, suspend or terminate your account, report activity to brands or third parties, and pursue legal remedies.

In addition, to the extent permitted by law, you agree to pay Mainstage as liquidated damages, and not as a penalty, an amount equal to the greater of: (a) amounts paid or payable in connection with the affected activity; (b) 2x the amounts wrongfully obtained or attempted to be obtained; (c) Mainstage's investigation, enforcement, recovery, and collection costs; or (d) any other amount stated in an applicable campaign or written agreement.

8. Payouts are conditional

Any earnings, balances, estimates, metrics, statuses, or payout amounts shown in Mainstage are provisional unless and until Mainstage determines they are final and payable.

Payouts may depend on campaign terms, review, verification, fraud checks, payment settlement, brand payment status, platform data, identity verification, tax compliance, payment provider rules, dispute review, and other conditions. Mainstage may delay, withhold, reduce, reverse, cancel, claw back, or forfeit any payout where Mainstage believes doing so is appropriate.

You are not entitled to payment for content or activity that Mainstage determines is invalid, ineligible, non-compliant, fraudulent, disputed, unsupported by reliable data, connected to payment risk, or otherwise in breach of applicable terms.

9. KYC, AML, tax, and payment provider requirements

You must comply with all reasonable identity, know-your-customer, anti-money laundering, tax, sanctions, payment provider, and compliance requirements requested by Mainstage or its service providers.

Mainstage may require you to provide accurate information, documents, forms, certifications, payment account details, tax forms, or other materials before you can receive payment. Mainstage is not responsible for delays, freezes, reversals, rejections, closures, or other actions by payment processors, banks, platforms, or compliance providers.

If you do not complete required KYC, AML, tax, payment, or other compliance requirements within 90 days after Mainstage requests them, or within any other period Mainstage specifies, Mainstage may cancel, return, reallocate, hold, or forfeit any pending earnings, suspend or terminate your account, and take any other action Mainstage considers appropriate.

10. Post-publication obligations

Unless Mainstage or a campaign states otherwise, you must not delete, hide, make unavailable, materially alter, or make non-compliant any submitted or paid content for at least 30 days after approval or payment.

Mainstage may determine whether a change is material or whether content remains compliant. Deletion, unavailability, material changes, removed disclosures, altered claims, changed calls to action, changed brand references, or other post-publication issues may result in rejection, forfeiture, clawback, deduction from future earnings, suspension, or termination.

11. Rights you grant to brands

You retain ownership of your original creator content, subject to the licenses and rights you grant.

You grant each applicable brand the rights stated in the campaign terms or other written agreement. Unless a campaign states otherwise, you grant the brand a non-exclusive, worldwide, royalty-free license to use approved content for purposes reasonably connected to the applicable campaign, including reviewing, reporting, reposting organically, displaying internally, and using the content in campaign-related marketing and performance analysis.

Any paid advertising rights, whitelisting rights, sublicensing rights, exclusivity, editing rights, derivative rights, likeness rights, territory, duration, channel restrictions, or ownership transfer must be expressly stated in the campaign terms or another written agreement.

12. Rights you grant to Mainstage

You grant Mainstage a worldwide, non-exclusive, royalty-free, sublicensable license to host, copy, process, display, transmit, analyze, modify for formatting, distribute, and otherwise use your profile, handles, submissions, content, performance data, screenshots, results, and related materials as necessary or useful to operate, secure, improve, enforce, support, report on, and market Mainstage.

This license includes the right to use your name, handle, likeness, content, campaign examples, screenshots, results, and related materials in Mainstage marketing, sales, investor, customer, product, and case study materials, unless Mainstage agrees otherwise in writing.

You represent that you have all rights necessary to grant these licenses and that Mainstage's and the applicable brand's use of the materials as permitted will not violate any law or third-party right.

13. Non-circumvention

You may not use Mainstage to identify, discover, evaluate, contact, receive invitations from, apply to, submit work to, communicate with, transact with, or otherwise begin or develop a relationship with any brand, agency, advertiser, workspace, team member, or other participant, and then move or attempt to move that relationship, campaign, payment, opportunity, work, content request, or substantially similar arrangement outside Mainstage to avoid Mainstage fees, payment flows, rules, reporting, or protections.

This restriction applies to any relationship or opportunity arising directly or indirectly from Mainstage, including where you view a campaign, are invited to a campaign, apply to a campaign, join a campaign, submit work, communicate about a campaign, are introduced by Mainstage, are identified through Mainstage data, or are otherwise sourced, evaluated, or contacted through Mainstage.

Unless Mainstage gives prior written consent or a conversion fee is paid, you must use Mainstage as the exclusive method to request, contract for, manage, and receive payment for substantially similar creator campaign work with any covered brand or participant during the non-circumvention period. The non-circumvention period is 24 months from the later of the first Mainstage-related contact, invite, application, submission, campaign participation, payment, or other interaction with the covered brand or participant.

If Mainstage determines that you breached this section, Mainstage may suspend or terminate your account, withhold or claw back payouts, invoice you, recover avoided fees, recover investigation and enforcement costs, and seek injunctive relief.

In addition, you agree to pay Mainstage, as liquidated damages and not as a penalty, an amount equal to the greater of: (a) $1,000 per covered relationship; (b) 20% of all amounts paid, promised, committed, invoiced, or reasonably expected to be paid in connection with the off-platform relationship during the first 12 months; (c) 2x the Mainstage fees avoided or reasonably expected to be avoided; or (d) any conversion fee stated in an applicable campaign or written agreement.

14. Independent contractor

You are an independent contractor and not an employee, worker, partner, agent, franchisee, joint venturer, or representative of Mainstage or any brand. You are responsible for your own tools, equipment, expenses, taxes, insurance, filings, registrations, and legal obligations.

Nothing in these Creator terms creates an employment, agency, partnership, or fiduciary relationship between you and Mainstage or between you and any brand.

15. Taxes

You are responsible for all taxes, duties, levies, withholding, reporting, filings, and similar obligations arising from your payouts, earnings, content, services, or use of Mainstage.

Mainstage or its payment providers may collect tax information, issue tax forms, report payments, withhold amounts, or take other actions where required or permitted by law. You remain responsible for any tax obligations not expressly assumed by Mainstage in writing.

16. Third-party platforms and providers

Campaigns may involve third-party platforms, payment processors, social networks, analytics providers, hosting providers, communication tools, and other services. Mainstage does not control those third parties and is not responsible for their acts, omissions, rules, availability, data, decisions, takedowns, delays, errors, or fees.

You are responsible for complying with all third-party terms and policies that apply to your content and accounts.

17. Indemnification

You will defend, indemnify, and hold harmless Mainstage, its affiliates, and their respective directors, officers, employees, contractors, agents, licensors, service providers, successors, and assigns from and against all claims, demands, actions, investigations, proceedings, liabilities, damages, losses, settlements, penalties, fines, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

  • Your content, submissions, accounts, handles, activity, claims, or use of Mainstage.
  • Your breach of these Creator terms or any applicable law, rule, platform policy, or third-party right.
  • Any allegation that your content or activity is unlawful, false, misleading, infringing, defamatory, unsafe, non-compliant, or otherwise improper.
  • Your failure to obtain or maintain required rights, permissions, clearances, consents, disclosures, licenses, tax treatment, or regulatory compliance.
  • Disputes with brands, platforms, payment providers, account owners, collaborators, or third parties.
  • Fraud, artificial engagement, account misuse, payment misuse, off-platform circumvention, collusion, or abuse.

18. Disclaimers

Mainstage is provided as is and as available. To the maximum extent permitted by law, Mainstage disclaims all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, reliability, performance, and course of dealing.

Mainstage does not warrant that you will receive campaigns, earn money, be accepted, receive views, remain eligible, receive payment by any date, preserve social platform access, or that third-party platform data will be complete or error-free.

19. Limitation of liability

To the maximum extent permitted by law, Mainstage will not be liable for indirect, incidental, special, consequential, exemplary, enhanced, or punitive damages, lost earnings, lost opportunities, lost profits, lost revenue, lost business, lost goodwill, data loss, account loss, platform takedowns, brand conduct, third-party platform changes, payment processor action, or campaign cancellation.

Mainstage's aggregate liability arising out of or relating to these Creator terms or your use of Mainstage will not exceed the fees actually retained by Mainstage from your creator activity during the three months before the event giving rise to liability. Amounts deposited, reserved, held, passed through, payable, or paid by brands or third parties are not fees retained by Mainstage and are excluded from the liability cap.

Mainstage has no liability for amounts already paid to you, reversed by third parties, withheld by payment providers, or paid to other parties. Mainstage may choose to help investigate or resolve later-discovered fraud, disputes, or platform issues, but doing so does not create liability or any obligation to recover or reimburse amounts.

20. Suspension and termination

Mainstage may suspend or terminate your access, submissions, payouts, balance, or account at any time where Mainstage believes doing so is appropriate. Upon termination, your payment obligations, indemnities, licenses, confidentiality obligations, non-circumvention obligations, disclaimers, liability limitations, and any other provisions that by their nature should survive will survive.

21. Changes

Mainstage may update these Creator terms from time to time. Updated terms apply when posted or otherwise made available, except where Mainstage states a later effective date or applicable law requires additional notice.

22. Governing law and disputes

These Creator terms are governed by the laws and resolved in the courts or arbitration forum stated in the applicable campaign terms or written agreement. If no separate agreement applies, the governing law, forum, arbitration, class waiver, venue, injunctive relief, and consumer-law carveouts will be determined by Mainstage's generally applicable terms or by applicable law.
